1. Who you are contracting with

Ticketresolve is provided by muo nnamdi hilary, trading as Ticketresolve (“we”, “us”). By creating an account or using the service you enter into an agreement with muo nnamdi hilary on these terms. If you accept on behalf of an organisation you confirm you have authority to bind it; if you accept as an individual you confirm you are of legal age.

2. Acceptance

By continuing to access or use the service you agree to these terms and to our Privacy Notice and Refund Policy. If you do not agree, stop using the service.

3. The service

Ticketresolve is a hosted ticketing and SLA tracking application for operations, settlement and client-service desks, including ticket intake, assignment, SLA timers and alerts, audit trails, role-based permissions, reporting and exports, and agent integrations. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected.

4. Your account and content

  • Keep your credentials confidential; you are responsible for activity under your account.
  • Provide accurate registration and billing information and keep it up to date.
  • You retain ownership of the data and content you submit, and grant us a limited licence to host and process it solely to provide the service.

5. Acceptable use

You must not misuse the service. In particular you must not:

  • use the service unlawfully or for any fraudulent purpose, or send spam or unsolicited messages;
  • infringe intellectual property or privacy rights of others;
  • interfere with the security or integrity of the service, including introducing malware, probing or penetration testing without consent, bypassing access controls or technical limits, or scraping data;
  • reverse engineer, resell or redistribute the service.

6. Intellectual property

We and our licensors retain all rights, title and interest in the service, including its software, documentation, design and branding. Nothing in these terms transfers ownership of our intellectual property to you.

7. Payments and subscriptions

Paid plans are billed per agent seat on a monthly or annual cycle and renew automatically until cancelled. Seat and plan changes are prorated. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle’s Buyer Terms and our Refund Policy.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

8. Service level and warranties

We work to keep the service available and reliable but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Liability

To the extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

10. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your content, your unlawful use of the service, or your breach of these terms.

11. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service at any time and cancel a subscription from the billing page. On termination you will have a reasonable window to export your data, after which it may be deleted in line with our Privacy Notice.

12. General

We may update these terms; material changes will be notified before they take effect. You may not assign this agreement without our consent; we may assign it in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the Federal Republic of Nigeria and disputes are subject to the exclusive jurisdiction of its courts, without affecting mandatory consumer rights in your country of residence.
